1. Definitions
- “Author”: the individual or entity submitting a proposal or manuscript.
- “Manuscript”: the complete text, illustrations, tables, and metadata delivered by the Author.
- “Publisher”: Bogoni Research & Publishing (Pty) Ltd.
- “Work”: the published book in all formats (print, e-book, audio).
- “Net Receipts”: revenue actually received by the Publisher from sales of the Work, after deducting distribution fees, returns, discounts, and applicable taxes.
2. Services Provided
Publisher will supply the services agreed in the Publishing Agreement, which may include:
- Developmental editing & copyediting
- Cover design & interior layout
- ISBN registration & legal-deposit submission
- Distribution & marketing support
3. Submission & Review
- Delivery: Author submits Manuscript according to format and timing in the proposal.
- Review: Publisher responds within 4–6 weeks, requesting revisions if needed.
4. Acceptance & Agreement
- Work does not commence until Author returns a signed Publishing Agreement.
- That Agreement will detail selected services, any costs (if applicable), and royalty terms.
5. Fees & Royalties
- Upfront Fees: None—Publisher waives all upfront service fees. Any costs (e.g., optional print runs, premium design) will be clearly outlined in the Publishing Agreement.
- Royalties:
- Print editions: 20% of Net Receipts
- E-book editions: 35% of Net Receipts
- Payment schedule: Semi-annual, with royalty statements provided within 30 days of each period.
6. Rights Granted
Author grants Publisher exclusive rights to publish, reproduce, distribute, and sell the Work in all media and territories for the full term of copyright. Author retains moral rights and may use the Work for non-commercial purposes.
7. Author Warranties & Indemnity
Author warrants that:
- The Manuscript is original, unpublished, and not under contract elsewhere.
- All third-party material is used with permission or is in the public domain.
- The Work does not infringe any rights.
Author agrees to indemnify Publisher against any losses or claims arising from breach of these warranties.
8. Publisher Obligations
Publisher will:
- Produce the Work to professional industry standards.
- Use reasonable efforts to market and distribute the Work.
- Keep Author informed of key milestones (design proofs, print runs, launch dates).
9. Confidentiality
Both parties agree to maintain confidentiality of non-public information shared during the course of this collaboration.
10. Termination
- Either party may terminate for material breach, giving 30 days’ written notice and opportunity to cure.
- Upon termination, all rights revert to the Author and Publisher will cease further publication or distribution.
11. Governing Law & Dispute Resolution
- These Terms & Conditions are governed by the laws of the Republic of South Africa.
- Disputes will first be referred to mediation; if unresolved, to arbitration in Johannesburg under AFSA rules.
By submitting your materials or signing the Publishing Agreement, you acknowledge and accept these Terms & Conditions.
